UniVET System - license agreement with the end user
This license agreement with the end user (“license”) is the contract between you and company SportSoft s.r. o. (“SportSoft”) and concerns the software of the company SportSoft and related documentation (generally “software”). READ CAREFUL THE FOLLOWING TEXT, CONTAINED IN THE LICENSE. BY USE OF THIS SOFTWARE YOU EXPRESS AGREEMENT WITH THIS LICENSE. IF YOU DO NOT AGREE WITH CONDITIONS OF THIS LICENSE OR YOU DO NOT UNDERSTAND THEM, DO NOT INSTALL THIS SOFTWARE AND AS SOON AS POSSIBLE RETURN THIS PRODUCT AT THE POINT OF PURCHASE.
1. License rights
Under reservation limitations referred below the company SportSoft grant to you portable permanent license (a) for installation of the software only on one computer (b) for use or permission for use of this software only on one computer (c) for making one copy of the software in the computer-readable format exclusively for backup purpose with condition that made copy will contain all agreements about copyrights and other property rights (d) for the assignment of this software and license on other person only on condition that this other person agrees and accepts with conditions of this license. After assignment of this software on other person you must at the same time either transfer all copy to her, or you must them destroy. If you assign property of any software copy to other person, your license according to this agreement expires. Some functions of the software can be locked and before you can them use, it is necessary to activate these functions and so either free of charge, or against payment other license royalties. Company SporSoft can additionally either cost free, or against payment other license royalties grant the license for modules to software, which created or distributed company SportSoft. Use of such functions and modules will conform to provisions of this agreement, as far as they are not accompanied by other license agreement. In such case applies in preference license agreement for modules.
2. License restrictions
In consequence of Your own doing You may not cause, or give permission to any third person, so that
(a) this software or any rights or obligations, which result from this license, were subject of the leasing, sale, lending or other form of transfer with the exception of the case according to point 1
(b) this software was installed in the computer network, in which have access more users, apart from the case, where each user of this system purchases the license itself
(c) this software was subjected to total or partial analysis or decompiling of the software source program or the disassembling of hardware;
(d) were destroyed any author clauses or other property identifications of the software or any software from other producer;
(e) this software was modified or adapted, was accomplished connection of the software to other program or were created offsets based on this software;
(f) were produced copies or accomplished distribution of this software for the purpose of profit or for other purpose , with exception of expressly above mentioned permission;
(g) were accomplished any changes, adjustments, connections, disconnections, improvements or adaptations or this software was used in other way, than is expressly mentioned in attached documentation and in this license;
(h) was granted sublicence, accomplished transfer of this license or any rights and obligations, which result from this license, except for the cases, which are expressly mentioned in this license;
3. Ownership
Below granted license is not assignment or sale of the property rights, which refer to the software. With exception of above granted license rights remains possessory title of company SportSoft to the software retained including all rights of intellectual property in this regard. Software is protected by related laws for intellectual property protection including laws of Czech Republic for protection of copyrights and international conventions.
4. Exclusive ownership of the third parties
This software can contain exclusive ownership of other subjects, which was licensed by the company SportSoft. Use of this software is expressly contingent on Your consent, that you do not remove any author rights clauses or other property identifications of the software of other producer.
5. Security
You acknowledge and agree with this that for the security purpose of certain content, which possesses the third page, company SportSoft or those, who granted the license, can provide the safety updating for software, which will be automatically downloaded and installed in Your computer. Such safety updating can reduce performance of the software (and all other software on Your computer, which is expressly dependant on the software), including prevention of the eventuality for copying or scanning of “secured” content; i.e. content, which is protected by mode of the digital rights. In such case company SportSoft or those, who granted the license, make appropriate effort for prompt publication of the notification on the web server UniVET system, which will describe the safety updating and on which the users find instructions with the procedure for acquisition of new versions or other updating of the software, which restores access to protected content and corresponding functions.
6. Updating
You acknowledge and agree with this that company SportSoft can automatically check the version of your software and components, which you use and can provide updating or repairs of the software, which will be automatically downloaded in Your computer. Updating, which was provided after the elapse of limited guarantee time, which is determined in the section 8, is not covered by any guarantee whether express, or given by the law.
7. Period of validity and expiration
This license comes into force by accomplishment of the software installation and will be prematurely finished, if you (a) break any condition of this license (b) return, destroy or delete all owned copy of this software, or (c) assign this software and this license on another person according to section 1.
8. Limited guaranty
Company SportSoft guarantees to certified user, that software in delivered state will function according to related documentation for 30 days starting from date of original purchase (“limited guarantees”). Only obligation of the company SportSoft and Your exclusive remedy instrument in the case nonfulfilment of the obligation, which follows from limited guarantee, becomes, upon the selection of the company SportSoft, repair or change of the software, which does not fulfill guarantee conditions here referred to, and which is returned to the company SportSoft. This limited guarantee abates, if the error of the software were caused by accident, misuse or bad or improper use. Any exchanged software will have the guarantee duration 30 days.
9. Further guarantees
Beside from above referred, this software is provided in the state „how is“. You take over all responsibility for the quality and performance of the software. To the largest possible extent, which is permitted by the determination right, the company SportSoft does not recognize any guarantees whether expressly specified, or implied, including, but not only, implied guarantees, which refer to the merchantability, non law-breaking and suitability for certain purpose. Licenser is not liable for this that functions in this software will be intact and will correctly operate.
10. Limitation of liability
You agree with this that company SportSoft will be in no case responsible for any risks following, special, indirect, secondary and penalty damages, and that even if company SportSoft were noticed about the possibility of arising such damages. Liability of the company SportSoft in no case exceeds total amount of the fees, which were paid for software, Some states or jurisdictions under certain circumstances do not grant the limitation of liability or liability exemption for secondary or subsequent damages, so that above referred limitations of liability do not have to be valid under certain circumstances.
11. General conditions
The agreement follows laws of Czech Republic, without reference to principles of the contradiction of the laws. This license is complete agreement between you and the company SportSoft and replaces any further communication regarding the software. No modification or amendment to this license can be considered as valid, until it is from both sides signed in writing. As long as any arrangement of this license is found as invalid or unenforceable, the remainder of this license still remains in full efficiency and validity.
